Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kedra fleet management platform ("Service") operated by Kedra Fleet Ltd ("Kedra", "we", "us", or "our"), a company registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Account Registration

To use Kedra, you must create an account by providing a valid email address and setting a password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information when registering and keep your account details up to date. You must notify us immediately at hello@kedrafleet.co.uk if you become aware of any unauthorised use of your account.

2. Subscription Plans and Billing

Free Tier

Kedra offers a free tier that allows you to manage up to 3 vehicles at no cost. The free tier includes core platform features and is subject to the same terms as paid plans. No credit card is required for the free tier.

Paid Plans

Paid plans are billed on a per-vehicle, per-month basis. Pricing details are available on our Pricing page. When you subscribe to a paid plan, you authorise us to charge your chosen payment method on a recurring monthly basis.

Billing

All paid subscriptions are billed month-to-month. Charges are calculated based on the number of active vehicles in your account at the start of each billing cycle. Payments are processed securely through Stripe. All fees are exclusive of VAT unless otherwise stated.

Cancellation

You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period. We do not offer pro-rated refunds for partial months. After cancellation, your account will revert to the free tier.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code, viruses, or harmful data
• Scrape, crawl, or use automated means to access the Service beyond what is permitted by our API
• Misuse the DVLA lookup feature by submitting registration numbers you are not authorised to query
• Resell, sublicence, or redistribute the Service without our prior written consent

We reserve the right to suspend or terminate accounts that violate these terms without notice.

4. Data Ownership

You retain full ownership of all data you enter into the Service, including vehicle records, fleet information, service histories, and any other content you upload or create ("Your Data"). We do not claim any ownership rights over Your Data.

You grant us a limited licence to use, process, and store Your Data solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Data or close your account.

Data Export

You have the right to export Your Data at any time in a standard format (CSV). We provide export functionality within the platform. If you are closing your account, we recommend exporting your data before doing so, as we will delete Your Data within 30 days of account closure.

5. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by Kedra Fleet Ltd and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.

6. AI-Powered Features

Kedra includes AI-assisted features powered by third-party AI services. These features provide suggestions, summaries, and recommendations based on your fleet data. AI outputs are provided for informational purposes only and should not be relied upon as professional advice. You are responsible for verifying any AI-generated content before acting on it.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance where possible.

8. Limitation of Liability

To the maximum extent permitted by law, Kedra Fleet Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the total amount you have paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

9. Termination

You may terminate your account at any time by contacting us or using the account deletion option in your settings. We may suspend or terminate your account if you breach these Terms, if your account is inactive for an extended period, or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days following termination to allow you to export it, after which it will be permanently deleted.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may close your account before the effective date.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms constitute the entire agreement between you and Kedra Fleet Ltd regarding the Service and supersede any prior agreements.
